Experience
Jonathan Roth joined Donovan Hatem LLP in 2007 and serves as Of Counsel in the firm's Corporate Law, Real Estate, and Estate Planning groups. Jonathan focuses his practice primarily on transactional work, including both commercial and residential real estate, corporate structures and start-ups, commercial transactions, corporate finance, international transactions, mergers and acquisitions, litigation management, media and entertainment, and estate planning and probate matters.
Jonathan has acted as Chief Operating Officer and Executive Director of a number of European and Asian Companies, as well as Chief Legal Officer for a number of companies including a film studio, a scenic railway, and a theme park and office park development company. He has been involved in property development, planning and concept development for major projects in the US, UK and Asia. His experience in the UK includes spearheading the granting of an outline planning permission for development of a major studio-theme park, including doing the executive analysis of the project's feasibility and dealing with all logistical and environmental issues. He has also negotiated the purchase of a Swiss Private Bank, a European Trust Company, as well as the acquisition of, and the due diligence for, commercial real estate properties and various businesses in the US, Asia and Europe. Jonathan has also negotiated union contracts, decertified a union, and negotiated settlement of employer withdrawal liabilities from multi-employer plans.
Recent Matters
- Acts as part-time General Counsel to International Theme Park and Visitor Attraction development company
- Structured a tax free sale under IRC § 1031 for a complex sale and purchase of commercial and residential property.
- Represented lenders in both residential and commercial transactions.
- Represented a private lender in obtaining a foreclosure on a variety of business properties and other assets, and the subsequent sale of the foreclosed properties resulting in a recovery of all costs as well as the interest and principal of the loan.
- Obtained new zoning approval for the development of 350 unit condominium development from local village council over the objection of the chairman of the planning commission outside of Massachusetts.
- Represented a transportation company in the sale of a wholly-owned subsidiary and obtained all necessary governmental approvals for same.
- Represented a developer in obtaining administrative variance to building requirements resulting in savings of more than $200,000 in construction costs.
- Represented corporate client in negotiating a settlement of a major lawsuit, resulting a savings of more than $900,000.00.
- Structured a succession plan for a closely-held company so that the children managers could transition into control of the business while compensating senior family members and siblings uninvolved in the business.
- Regularly prepares Wills, Estate Plans, and Trusts for individual clients.
